End User License Agreement

End User License Agreement (EULA)
This End User License Agreement ("EULA") is a legal agreement between you ("User", "Customer", or "Licensee") and Metapher Media Labs ("Metapher", "Company", "we", "our", or "us") governing the use of software products, applications, and platforms operated by Metapher Media Labs.

This agreement applies to all software provided by Metapher including but not limited to:
  • Magpiie (video production management and collaboration platform)
  • Creator workflow management tools
  • SaaS platforms and digital software services
  • Associated APIs, interfaces, and documentation

By accessing, installing, or using Metapher software products, you agree to be bound by this EULA. If you do not agree to this agreement, you must not access or use the software.

    Metapher Media Labs develops software platforms and digital infrastructure for content creators, media teams, and digital businesses.
  • 2. License Grant

    Subject to compliance with this EULA and the Terms of Service, Metapher Media Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the software. This license allows users to:
    • Access the software through authorized accounts
    • Use features provided by the platform
    • Manage projects and workflows
    • Collaborate with team members
    • Upload and manage content within the platform
    This license does not grant ownership of the software. All intellectual property rights remain with Metapher Media Labs.
  • 3. Permitted Use

    Users may use the software solely for lawful purposes including:
    • Managing video production workflows
    • Collaborating with teams
    • Organizing digital content
    • Managing creative production processes
    Users must comply with applicable laws, platform policies, and these license terms.
  • 4. Restrictions

    Users may not:
    • Copy or reproduce the software
    • Modify or create derivative works
    • Reverse engineer or decompile the software
    • Bypass security protections
    • Distribute or resell the platform without authorization
    • Use the platform for illegal activities
    • Attempt unauthorized access to system infrastructure
    Violation of these restrictions may result in termination of the license.
  • 5. User Accounts

    Access to certain software services requires user account registration. Users agree to:
    • Provide accurate account information
    • Maintain confidentiality of login credentials
    • Notify Metapher of unauthorized account access
    Users are responsible for activities conducted through their accounts. Metapher may suspend or terminate accounts for violations of this agreement.
  • 6. Subscription and Payment Terms

    Certain software features may require paid subscriptions. Payments may be processed through third-party payment providers including:
    • Razorpay
    • PayPal
    • Payoneer
    • Direct bank transfer
    Subscriptions may be billed on a recurring basis. By subscribing, users authorize recurring charges according to the selected billing plan. Subscription fees are generally non-refundable, except as specified in the Cancellation & Refund Policy.
  • 7. Software Updates

    Metapher Media Labs may periodically release updates, patches, security improvements, and feature enhancements. Users agree that software updates may be applied automatically where applicable. Updates may modify functionality to improve performance or security.
  • 8. User Content

    Users may upload or submit content through the software platform, including files, documents, project assets, workflow data, and collaboration messages. Users retain ownership of their content. However, by uploading content, users grant Metapher Media Labs a limited license to store, process, and display the content solely to provide the service functionality.
    Users are responsible for ensuring that their content complies with applicable laws, does not infringe intellectual property rights, and does not contain malicious code.
  • 9. Intellectual Property

    All software, technology, and platform infrastructure are the intellectual property of Metapher Media Labs. This includes software code, system architecture, design elements, trademarks, documentation, and branding. Users may not claim ownership or intellectual property rights to the platform. Unauthorized use of intellectual property is prohibited.
  • 10. Third-Party Services

    The software platform may integrate with third-party services such as payment processors, cloud hosting services, analytics platforms, and external integrations. Use of such services may be subject to their own terms and privacy policies. Metapher Media Labs is not responsible for third-party service availability or policies.
  • 11. Data Protection and Privacy

    Metapher Media Labs processes personal data in accordance with the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and California Privacy Rights Act (CPRA). Users should review the following documents for details on how personal data is collected, processed, and protected:

    Metapher Media Labs implements reasonable security measures including encrypted data transmission, secure hosting infrastructure, access control mechanisms, and monitoring systems. However, no digital platform can guarantee absolute security. Users are responsible for maintaining the security of their accounts.
  • 13. Disclaimer of Warranties

    The software is provided "as is" and "as available". Metapher Media Labs does not guarantee that the software will be uninterrupted, the platform will be error-free, or the service will meet specific user expectations. Users assume all risks associated with the use of the software.
  • 14. Limitation of Liability

    To the maximum extent permitted by law, Metapher Media Labs shall not be liable for:
    • Indirect damages
    • Loss of data
    • Loss of revenue
    • Business interruptions
    • Damages resulting from third-party integrations
    Total liability shall not exceed the amount paid by the user for the service in the preceding 12 months.
  • 15. Termination

    Metapher Media Labs may terminate this license if users violate this agreement, misuse the platform, fail to pay subscription fees, or engage in unlawful activity.
    Upon termination:
    • Access to the software may be revoked.
    • User data may be retained or deleted according to applicable policies.
  • 16. Compliance with Laws

    Users agree to comply with all applicable laws including intellectual property laws, privacy regulations, export control regulations, and digital security laws. Users are responsible for ensuring lawful use of the platform.
  • 17. Export Compliance

    The software may be subject to export control laws. Users agree not to export or transfer the software to jurisdictions prohibited by applicable laws.
  • 18. Changes to This Agreement

    Metapher Media Labs may update this EULA periodically to reflect regulatory requirements, product improvements, or operational changes. The updated version will be posted on this page with a revised effective date. Continued use of the software constitutes acceptance of the updated terms.
  • 19. Governing Law

    This EULA shall be governed by the laws of India, without regard to conflict of law principles. Any disputes arising under this agreement shall be subject to the jurisdiction of courts located in India.
  • 20. International Users

    Users accessing the software from outside India acknowledge that their data may be transferred internationally. Metapher Media Labs implements safeguards to ensure compliance with applicable privacy regulations including GDPR.
